1 Introduction

These Terms and Conditions ("Terms") govern the use of the Hire HRAI platform ("Service"), operated by Hire HRAI Oy ("we", "us", or "our").

By accessing or using the Service, you ("Customer", "User", or "you") agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.

These Terms form a legally binding agreement between you and Hire HRAI Oy. They apply to all visitors, users, and organizations that access or use the Service, including employers, administrators, and other authorized users.

2 Definitions

For the purposes of these Terms:

  • "Service" means the Hire HRAI web-based platform and all related software, analytics tools, and features provided by Hire HRAI Oy.
  • "Customer" means a legal entity or individual subscribing to or otherwise using the Service.
  • "User" means any individual authorized by the Customer to access or use the Service.
  • "Candidate" means an applicant whose personal data is processed through the Service as part of a recruitment process.
  • "Account" means a registered user profile or organization account within the Service.
  • "Content" means any data, information, or material uploaded, submitted, or generated through the Service.
  • "Subscription Plan" means the applicable pricing model and service tier selected by the Customer.
  • "Agreement" refers to these Terms and any documents referenced herein, including the Privacy Policy and Data Processing Agreement (where applicable).

3 Agreement and Acceptance of Terms

By creating an Account, subscribing to a plan, or otherwise using the Service, you confirm that you:

  • Have read and understood these Terms;
  • Have the authority to enter into this Agreement on behalf of the Customer organization; and
  • Agree to comply with all applicable laws and regulations when using the Service.

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.

Hire HRAI reserves the right to modify these Terms at any time. Updated versions will be posted on our website and take effect upon publication. Continued use of the Service after such updates constitutes acceptance of the revised Terms.

4 Scope of the Service

Hire HRAI provides a software platform that assists organizations in managing recruitment processes, analyzing applications, and supporting data-driven hiring decisions.

The Service may include features such as AI-based scoring, analytics dashboards, candidate comparison, and collaboration tools.

We may update, improve, or modify the Service from time to time to enhance performance, security, or user experience. Some features may be available only under specific Subscription Plans.

Unless otherwise stated in writing, the Service is provided for business use only. We do not act as a recruitment agency or employer and do not participate directly in employment decisions made by Customers.

5 Account Registration and Access

To access most features, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.

Accounts are personal or organization-specific and may not be shared or transferred without our consent.

If you believe your Account has been accessed without authorization, you must notify us immediately at the contact address provided in these Terms.

Hire HRAI reserves the right to suspend or terminate Accounts that violate these Terms or that are used in a manner that may harm the Service, other users, or third parties.

6 Service Plans and Pricing

Hire HRAI offers multiple Subscription Plans with different features, usage limits, and pricing tiers. Details of each plan — including available functionalities, user limits, and fees — are published on our website or otherwise communicated to the Customer during subscription.

All prices are stated in euros (€) and include all applicable taxes, unless otherwise indicated.

We reserve the right to update our pricing structure and Subscription Plans at any time. Any change will take effect at the beginning of the Customer's next billing period unless otherwise specified.

Trial accounts, free access, or promotional offers may be made available at our discretion. We reserve the right to modify or withdraw such offers at any time.

7 Payment Terms and Billing

Customers agree to pay all applicable fees associated with their chosen Subscription Plan or pay-per-post model in accordance with the pricing information provided at the time of purchase.

Payments are typically due at the start of each billing period (monthly or annually, depending on the plan). Accepted payment methods are listed on our website or within the Service interface.

Invoices or payment confirmations will be provided electronically.

Failure to pay on time may result in suspension or termination of the Service.

Unless required by law, all payments are non-refundable. Downgrading or cancelling a plan will take effect at the end of the current billing period.

8 Use of the Platform

Customers and Users may use the Service solely for lawful business purposes related to recruitment and HR operations.

You agree not to:

  • Use the Service in a manner that violates any applicable law or regulation;
  • Upload, transmit, or store any content that is unlawful, discriminatory, or infringing;
  • Attempt to copy, modify, or reverse-engineer the platform;
  • Use automated systems to extract data or overload the Service infrastructure.

We may monitor system usage to ensure compliance and service stability. Violation of these terms may result in immediate suspension or permanent termination of access.

9 Employer Responsibilities

The Customer is solely responsible for the recruitment content, job postings, and evaluation criteria created within the Service.

Hire HRAI provides analytical tools and scoring mechanisms but does not make or approve hiring decisions.

Customers are responsible for ensuring that their use of the Service — including the creation of job posts, evaluation methods, and communication with candidates — complies with applicable employment and data protection laws.

Customers must ensure that any personal data uploaded to the platform (e.g., CVs, applications) has been collected lawfully and with the candidate's consent or other valid legal basis.

Hire HRAI shall not be liable for any employment decisions, postings, or actions taken by Customers based on outputs from the Service.

10 Candidate Data and Content

The Customer retains ownership of all data and content uploaded to the Service, including job postings, evaluation criteria, and candidate information. HRAI acts as a data processor on behalf of the Customer, handling such data in compliance with applicable data protection laws and the Data Processing Agreement. The Customer is responsible for ensuring that any data submitted to the Service has been collected lawfully, while HRAI is responsible for the secure and lawful processing, storage, and analysis of that data as part of the Service.

Hire HRAI will not access or use candidate data for any unrelated purpose.

All data processing is governed by the Data Processing Agreement (DPA), which forms an integral part of this Agreement for Customers handling candidate information through the platform.

Customers are responsible for obtaining all necessary rights, permissions, and legal bases for processing candidate data before uploading it to the Service.

11 Intellectual Property Rights

All intellectual property rights in and to the Service, including software, algorithms, user interfaces, designs, documentation, and trademarks, are and shall remain the exclusive property of Hire HRAI Oy or its licensors.

Nothing in these Terms shall be construed as transferring any ownership rights to the Customer.

Customers are granted a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and their selected Subscription Plan.

All rights not expressly granted herein are reserved.

The Customer retains ownership of all data and content they upload to the platform. Hire HRAI makes no claim of ownership over Customer or Candidate data.

12 Confidentiality

Both parties agree to maintain the confidentiality of all non-public information disclosed in connection with this Agreement ("Confidential Information").

Each party shall:

  • Use Confidential Information solely for the purpose of fulfilling its obligations under this Agreement;
  • Restrict disclosure to employees or subcontractors who have a legitimate need to know such information; and
  • Protect the information with at least the same degree of care it uses to protect its own confidential information.

Confidential Information does not include information that:

  • Is or becomes publicly available without breach of this Agreement;
  • Was lawfully known by the receiving party prior to disclosure;
  • Is independently developed by the receiving party; or
  • Is required to be disclosed by law, court order, or governmental authority (in which case, the disclosing party will be notified where legally permissible).

This confidentiality obligation shall survive termination of the Agreement.

13 Service Availability and Maintenance

Hire HRAI strives to maintain a high level of Service availability and performance. However, we do not guarantee uninterrupted or error-free operation.

Scheduled maintenance, updates, or improvements may temporarily limit access to the Service.

We will use reasonable efforts to notify Customers of planned maintenance in advance and to minimize disruption.

Emergency maintenance may be performed without prior notice if necessary to protect data integrity or system security.

Hire HRAI is not responsible for downtime, delays, or failures caused by factors beyond our reasonable control, including network issues, third-party services, or force majeure events.

14 Limitation of Liability

To the maximum extent permitted by applicable law:

  • Hire HRAI shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities arising from the use or inability to use the Service;
  • Our total aggregate liability for any claim related to this Agreement shall not exceed the amount paid by the Customer for the Service during the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms shall limit liability for death, personal injury, fraud, or willful misconduct where such limitation would be unlawful.

The Customer acknowledges that the Service provides decision-support tools, not binding employment recommendations, and that final hiring decisions remain the sole responsibility of the Customer.

15 Indemnification

The Customer agrees to indemnify, defend, and hold harmless Hire HRAI, its officers, employees, and affiliates from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Customer's use of the Service in violation of these Terms or applicable laws;
  • Any data or content uploaded by the Customer that infringes the rights of a third party;
  • Employment or hiring disputes resulting from decisions made by the Customer using the Service.

Hire HRAI will promptly notify the Customer of any claim subject to indemnification and cooperate reasonably in the defense at the Customer's expense.

16 Term and Termination

This Agreement remains in effect for as long as the Customer maintains an active Account or Subscription Plan, unless terminated earlier in accordance with these Terms.

Either party may terminate the Agreement:

  • By providing written notice at least 30 days before the end of the current billing period;
  • Immediately, if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice; or
  • If required by law or regulatory order.

Upon termination, the Customer's access to the Service will be disabled, and all related data may be deleted after a reasonable retention period, unless otherwise required by law or by the Data Processing Agreement.

Termination does not relieve the Customer of the obligation to pay any outstanding fees accrued before the termination date.

17 Changes to the Terms

Hire HRAI may update or modify these Terms from time to time to reflect changes in the Service, legal requirements, or business practices.

When changes are made, we will post the updated Terms on our website and update the "Last Updated" date at the top of the document. If the modifications materially affect the Customer's rights or obligations, we will provide reasonable notice before they take effect.

Continued use of the Service after the effective date of revised Terms constitutes acceptance of those changes.

18 Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Finland, excluding its conflict of law principles.

Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the District Court of Helsinki, Finland, unless otherwise required by mandatory applicable law.

Nothing in this clause shall limit Hire HRAI's right to seek injunctive relief or enforce intellectual property rights in any competent jurisdiction.
